1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pass2Wheel ("Company," "we," "our," or "us") governing your access to and use of the website located at https://pass2wheel.com, all subdomains, APIs, mobile applications, and all related services (collectively, the "Service"). BY ACCESSING OR USING THE SERVICE IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. If you do not agree to these Terms, you must immediately cease all access to and use of the Service. These Terms supersede any prior agreements between you and Pass2Wheel regarding the Service.

2. Eligibility

The Service is available only to individuals who are at least 16 years of age. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

3. Intellectual Property Rights

3.1 Ownership — All Rights Reserved

All content, materials, and elements comprising the Service are the exclusive intellectual property of Pass2Wheel and are protected under United States and international intellectual property laws, including but not limited to copyright law (17 U.S.C. §§ 101 et seq.), trademark law (15 U.S.C. §§ 1051 et seq.), trade secret law, unfair competition law, and applicable international treaties including the Berne Convention, the WIPO Copyright Treaty, and the Agreement on Trade-Related Aspects of Intellectual Property Rights (TRIPS).

3.2 Scope of Protected Materials

The following are the exclusive property of Pass2Wheel and protected in their entirety:

  • All text, questions, answers, explanations, hints, and educational content published on the Service
  • All visual designs, layouts, user interfaces, graphics, icons, color schemes, and stylistic elements
  • All source code, compiled code, algorithms, data structures, APIs, and software components
  • All trademarks, service marks, trade names, logos, and branding elements, including "Pass2Wheel," "Drive[Pass]," and all related marks
  • All databases, compilations, and data collections, including the structure, selection, and arrangement thereof
  • All study guides, course structures, question sequences, and pedagogical methodologies
  • All original ideas, concepts, frameworks, and instructional approaches embodied in the Service
  • All audio, video, and multimedia content
  • All metadata, tags, categories, and organizational structures
  • Any derivative works created by Pass2Wheel based on third-party public domain material

3.3 Prohibition on Copying and Reproduction

YOU MAY NOT, without the prior express written consent of Pass2Wheel:

  • Copy, reproduce, duplicate, replicate, or mirror any portion of the Service or its content
  • Distribute, publish, transmit, or make available any content from the Service to any third party
  • Create derivative works, adaptations, translations, or modified versions of any content
  • Incorporate any content, design element, question, or material from the Service into any other product, service, or website
  • Screen-scrape, data-mine, crawl, spider, or use any automated tool to extract data from the Service
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service
  • Remove, alter, obscure, or circumvent any copyright notice, watermark, or proprietary legend on any content
  • Frame, embed, or inline-link any portion of the Service without written authorization
  • Cache, archive, or store Service content beyond what is strictly necessary for normal browser operation
  • Use any content from the Service to train, fine-tune, or otherwise develop artificial intelligence systems, machine learning models, or automated systems of any kind

3.4 Protection of Concepts and Ideas

The original concepts, instructional frameworks, question design methodologies, content architecture, learning progressions, and pedagogical ideas embodied in the Service constitute protected trade secrets and proprietary know-how of Pass2Wheel. Unauthorized appropriation of these concepts — even without literal copying of text or code — constitutes misappropriation of trade secrets and unfair competition under applicable law, including the Defend Trade Secrets Act (18 U.S.C. § 1836) and applicable state trade secret statutes.

3.5 Enforcement

Pass2Wheel actively monitors for unauthorized use of its intellectual property and will pursue all available remedies against infringers, including but not limited to: injunctive relief (including emergency temporary restraining orders), statutory damages of up to $150,000 per work infringed under 17 U.S.C. § 504(c)(2) for willful infringement, actual damages plus disgorgement of profits, attorney's fees and litigation costs, criminal referrals where applicable, and DMCA takedown notices against hosting providers and search engines. The Company's failure to act on any particular infringement does not constitute a waiver of its rights to act on any other infringement.

4. Limited License to Use

Subject to your compliance with these Terms and any applicable subscription requirements, Pass2Wheel grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial educational purposes. This license does not include any right to: resell or commercially exploit the Service or its content; reproduce, distribute, or publicly display any content; modify or create derivative works; or use data mining, robots, or similar data gathering tools. Any use of the Service not expressly permitted by these Terms is strictly prohibited and may result in immediate termination of your account and legal action.

5. Accounts and Registration

  • You must provide accurate, current, and complete information during registration and keep it updated.
  • You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must immediately notify us of any unauthorized use of your account at legal@pass2wheel.com.
  • You may not create multiple accounts, share accounts, or transfer accounts to another person.
  • One account corresponds to one individual user. Business accounts are governed by separate Business Terms.
  • Pass2Wheel reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, with or without cause and with or without notice.

6. Subscriptions and Payments

6.1 Paid Plans

Access to premium features requires a paid subscription. Current plans are displayed on the Pricing page. All prices are in USD and exclusive of applicable taxes. We reserve the right to modify pricing at any time with 30 days' notice to existing subscribers.

6.2 Automatic Renewal

All subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current rate unless cancelled. By subscribing, you authorize Pass2Wheel to charge your payment method on a recurring basis until cancellation. You may cancel at any time via your account settings; cancellation takes effect at the end of the current billing period.

6.3 Refund Policy

All payments are non-refundable except as required by applicable law. We do not provide refunds or credits for partial subscription periods, unused features, or dissatisfaction with Service content. If you believe you were charged in error, contact legal@pass2wheel.com within 7 days of the charge.

6.4 Payment Processing

Payments are processed by Stripe, Inc. By making a payment, you also agree to Stripe's Terms of Service and Privacy Policy. Pass2Wheel does not store your credit card number or payment card data.

6.5 Taxes

You are responsible for all applicable taxes, levies, and duties imposed by taxing authorities in connection with your use of the Service.

7. Prohibited Conduct

You agree not to engage in any of the following:

  • Violating any applicable local, state, national, or international law or regulation
  • Infringing the intellectual property rights of Pass2Wheel or any third party
  • Attempting to gain unauthorized access to any part of the Service, server, or network
  • Transmitting any harmful, offensive, defamatory, or unlawful content
  • Interfering with or disrupting the integrity or performance of the Service
  • Using the Service to develop a competing product or service
  • Sharing, selling, or otherwise distributing questions, answers, or any content from the Service
  • Using bots, scripts, or automated tools to access or interact with the Service
  • Impersonating any person or entity or misrepresenting your affiliation with any person or entity
  • Collecting or harvesting any personally identifiable information from the Service
  • Using the Service for any commercial purpose without prior written consent
  • Circumventing or attempting to circumvent any access controls, paywalls, or authentication mechanisms

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. PASS2WHEEL DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE INFORMATION IN THE SERVICE IS ACCURATE, RELIABLE, CURRENT, OR COMPLETE; OR (D) USE OF THE SERVICE WILL PREPARE YOU FOR OR GUARANTEE PASSING ANY DRIVING EXAMINATION OR DMV TEST. ALL EDUCATIONAL CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY. THE COMPANY EXPRESSLY DISCLAIMS ANY RESPONSIBILITY FOR THE OUTCOME OF ANY DRIVING TEST, LICENSING EXAMINATION, OR DRIVING-RELATED ACTIVITY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PASS2WHEEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT PASS2WHEEL WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF PASS2WHEEL TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO PASS2WHEEL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD).

10. Indemnification

You agree to defend, indemnify, and hold harmless Pass2Wheel and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or contractual right; or (d) any claim that your actions caused damage to a third party.

11. DMCA & Copyright Infringement

Pass2Wheel respects intellectual property rights and expects users to do the same. If you believe any content on the Service infringes your copyright, please submit a DMCA takedown notice to dmca@pass2wheel.com including: (1) identification of the copyrighted work claimed to have been infringed; (2) identification of the infringing material with sufficient detail to locate it; (3) your contact information; (4) a statement of good faith belief; (5) a statement of accuracy under penalty of perjury; and (6) your electronic or physical signature. Repeat infringers will have their accounts terminated.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. THE PARTIES WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Notwithstanding the foregoing, Pass2Wheel reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

13. Termination

Pass2Wheel may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, without limitation, violation of these Terms, suspected fraud, or conduct harmful to other users or the Company. Upon termination, your right to use the Service immediately ceases. Sections 3 (Intellectual Property), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and 14 (General Provisions) shall survive termination.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and posting the revised Terms on this page. For significant changes, we may also send email notice to registered users. Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service immediately.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pass2Wheel regarding the Service.
  • Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
  • No Assignment: You may not assign or transfer your rights under these Terms without written consent. We may freely assign our rights.
  • Force Majeure: Pass2Wheel shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control.
  • Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
  • Language: These Terms are written in English. Any translated version is provided for convenience only; the English version controls in case of conflict.
